3. Terms of Service

These Terms of Service govern the commercial relationship between CreativeOrbitNetwork (hereinafter "the Agency") and any client engaging the Agency's digital transformation, web development, and marketing services.

Scope of Engagement

All services are delivered pursuant to individually executed Statements of Work (SOW) which form an integral part of these Terms. Each SOW specifies the scope, deliverables, timeline, and commercial investment for the engagement.

Intellectual Property

Upon complete settlement of all agreed invoices, all worldwide intellectual property rights in client-specific deliverables—including source code, design tokens, brand assets, and documentation—are irrevocably assigned to the Client. The Agency retains the right to reference the engagement in its portfolio unless otherwise agreed in writing.

Payment Terms

Invoices are payable within 14 calendar days of issuance. Late payments accrue interest at the statutory rate per § 288 BGB. The Agency reserves the right to suspend ongoing work after 21 days of unpaid invoices.

Limitation of Liability

The Agency's total aggregate liability under any engagement shall not exceed the total commercial investment paid by the Client for the specific deliverable giving rise to the claim. The Agency is not liable for indirect, consequential, or punitive damages.

Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Completed deliverables and associated IP are transferred to the Client upon settlement.

5. Refund Policy

Project deposits (typically 50% of the total engagement value) are non-refundable once work has commenced, as they cover initial discovery, planning, and resource allocation.

Milestone-Based Refunds

For milestone-based engagements, if the Agency fails to deliver a milestone within the agreed timeline due to Agency-side delays, the Client may request a proportional refund for the affected milestone.

Monthly Retainers

Monthly retainer agreements may be cancelled with 30 days written notice. No refund is provided for the current billing period. Outstanding work completed within the billing period remains billable.

Refund Request Process

Refund requests must be submitted in writing to [email protected] within 14 calendar days of the relevant invoice or deliverable. All refund requests are reviewed within 5 business days.

Exceptions

Refunds are not available for: (a) work completed and approved by the Client, (b) third-party costs incurred on behalf of the Client (domain registrations, hosting fees, software licenses), or (c) engagements terminated due to Client breach of these Terms.
